WNAS Operating Committee meeting Thursday, February 19th at 7:00 p.m.
BYLAWS OF THE WESTERN NEVADA ASTRONOMICAL SOCIETY

To actively promote and share the excitement and thrill of astronomy with members of the Society and the community, and to make the astronomical knowledge and experience of the membership available to all members of the Society and the community.
ARTICLE I : NAME
The name of the organization is the WESTERN NEVADA ASTRONOMICAL SOCIETY.
ARTICLE II : OBJECTIVES AND PURPOSE
Assist WNCC with the operation of the Jack C. Davis Observatory.
Host star parties both at the Observatory and in the community.
Provide astronomical information to the media and the community.
Act as a focal point for all with an interest in astronomy.
ARTICLE III : MEMBERSHIP
All are welcome to join WNAS. Anyone with an interest in astronomy, telescopes, and related topics stands to benefit from membership in and association with WNAS.
ARTICLE IV : RIGHTS OF MEMBERSHIP
All are welcome and encouraged to attend meetings. Members can participate as volunteers at the Observatory and in carrying astronomy out into the community. Officers of the organization will come from the membership.
ARTICLE V : REMOVAL OR SEVERANCE
Members can be removed from the membership of WNAS for non-payment of dues.
ARTICLE VI : FINANCES
WNAS will operate as a non-profit organization under the Western Nevada Community College Foundation (Foundation). The Foundation will maintain and manage the money raised from dues or other means, and provide an accounting to the membership thru the WNAS Treasurer.
ARTICLE VII : OFFICERS
Set the agenda and preside over meetings.
Select and appoint committees as needed.
Act as the primary spokesperson for WNAS
In the absent of the President will assume the duties of President.
Organize bi-monthly meeting
Act as a spokesperson for WNAS
Collect money due WNAS and turn it in to the Foundation.
Present the financial status at the bi-monthly meeting.
Turn in receipts for WNAS expenses as approved by operating board.
Approve payments of WNAS expenses by the Foundation.
Take minutes of meetings and submit to Officers for approval.
Provide an electronic copy of approved minutes to Newsletter Editor.
Submit a one-year compilation of minutes, newsletters and other archival material to the WNCC library for their Observatory archives.
Explore all avenues of communication to promote the Objectives and Purposes of WNAS.
Collectively, the above five Officers are the Operating Board of WNAS.
ARTICLE VIII : MEETINGS
There will be bi-monthly general meetings for the
membership at 7:00 p.m. the third Thursday of the months of January, March, May,
July, September and November. This will be an educational meeting with a program
and or speaker along with a short business meeting. On the alternating months, there will be an
Operating Board meeting at 7:00 p.m. the third Thursday of the month. Quorum for
general membership meetings for voting will consist of a simple majority of
those attending. The Operating Board quorum will be a simple majority of
officers present. The May general meeting will be an Annual Meeting to elect new
officers and change the by-laws if needed.
ARTICLE IX : OPERATING BOARD
This board will consist of the officers of WNAS and will meet as noted above. All committee members and the general membership are encouraged to attend these meetings.
ARTICLE X : COMMITTEES
Committees may be formed and dissolved by the Operating Board as deemed appropriate to serve the members and promote the Objectives and Purposes of the Society. At the adoption of these bylaws the following committees were standing:
Publishes a bi-monthly newsletter which is sent to the membership.
Offers Society or astronomy related merchandise for sale at WNAS events.
Maintains our web site; www.western-nevada-astronomical-society.com.
Collect pictures, articles and related items that pertain to the Society and Observatory to be included in a scrap book for the archives.
ARTICLE XI : PARLIAMENTARY AUTHORITY
Robert’s Rules of Order Newly Revised shall constitute the ruling authority in all cases in which they are not inconsistent with the Bylaws or with any statute of the State of Nevada.
ARTICLE XII : AMENDMENTS
These by-laws can be
amended by the membership at the next Annual Meeting (May). All proposed
amendments must be included in the newsletter that will go to the membership the
first week of May. Proposed amendments may be forwarded to Officers by e-mail as
listed in the most recent newsletter or in writing thru the Foundation at:
ARTICLE XIII : DUES
Dues are tiered as follows, with each membership having a single vote within the Society:
SENIOR MEMBERSHIP (62 and over) $15.
STUDENT MEMBERSHIP $15
INDIVIDUAL MEMBERSHIP $25.
FAMILY MEMBERSHIP $35.
EXECUTIVE MEMBERSHIP $250 (includes 2 free magazine subscriptions, a plaque of appreciation and lunch with the Observatory Director).
ARTICLE XIV : NOMINAL OPERATING PROCEDURES
These Nominal Operating Procedures may be added, deleted or changed by a simple majority of the Operating Board.
Meetings will usually be held at the Jack C. Davis Observatory, but may be changed by the Operating Board as appropriate.
Special meetings may be called by the Operating Board.
Request for information will be referred to the Media Person, which has the President and Vice President as their backup.
Reports to the media are to be approved by the Operating Board.
With sanction from the Operating Board, the Media person or other board members may speak on behalf of WNAS at outside functions
Expenditures for refreshments are limited to $50 per general meeting . This is to provide members with a variety of hot and cold drinks and light snacks at our meetings.
ARTICLE XV : OFFICERS NOT LIABLE FOR SOCIETY DEBTS
The Officers of this Society shall not be individually or personally liable for the debts, liabilities or obligations of the Society.
ARTICLE XVI : LIMITATION OF LIABILITY FOR OFFICERS
